INTRODUCTION

Welcome to Famli, an innovative fintech platform designed to empower families in managing, growing, and transferring their wealth across generations. By accessing or using our website, and/or mobile application (collectively, “Famli Platform”), you acknowledge that you have read, understood, and agree to abide by these terms of use (“Terms”).

These Terms set out the rights and obligations that govern your interaction with Famli on the platform, forming a legally binding agreement between you (“User”, “client” or “you” which will include individual, non- individual or corporate body, as relevant) and Famli Technology Products Private Limited (“Famli,” “we,” “our,” or “us”). By accessing Famli Platform, completing the registration process, or clicking on a button or checkbox indicating your acceptance (such as “I Accept”, “Agree” or similar consent mechanism), you acknowledge that you have read, understood, and agree to be bound by all the Terms contained herein. You acknowledge and agree that accessing or using the Famli Platform and/or availing Services (as defined below), including registration, execution of these Terms, or consents entered into or given electronically, constitute valid and legal electronic records as per the Information Technology Act, 2000. Such electronic records shall be deemed equivalent to signed physical agreements and shall have full legal effect. If you do not agree with any part of these Terms, you must not access or use Famli Platform.

These Terms shall be read and construed together with a separate investment advisory agreement (“Advisory Agreement”) to be entered into between you and Famli at a later stage, if you decide to subscribe to Investment advisory Services of Famli. The Advisory Agreement will govern the terms and conditions related specifically to the provision of investment advisory services in addition to the provision of these Terms.

SCOPE of Services

Famli is a fintech platform designed to empower families in viewing, organizing, planning, sharing their wealth. Famli is a Securities and Exchange Board of India (“SEBI”) registered investment advisor bearing registration number INA000021979, valid from 27th February 2026 until perpetuity. We offer following services through Famli Platform (“Services”):

(a) Customised financial advice and recommendations to users based on the personal and financial information they choose to share with us. Our goal is to help users make informed decisions in alignment with their unique financial goals and life stages to users as provided below .

(b) To enable users to view their assets, liabilities, insurances in a consolidated view, to enable sharing views of assets/liabilities/insurances with family members, to create and manage goals, to enable users to transact via the Famli Platform, to view insights on their investments, to do market related researches or undertake financial analysis.

Users to note that Famli uses generative artificial intelligence (AI) for providing the Services.

Famli is committed to the privacy of its users, and it is compliant with the data security laws. All data collection, access, storage, processing, and sharing of such data will be in accordance with the Privacy Policy1.

USER ELIGIBILITY AND ACCOUNT REGISTRATION

(i) To access and use the Services offered by Famli, you must meet the following eligibility criteria and agree to the conditions for account registration:

a) Eligibility: You represent and warrant that you are at least 18 (eighteen) years of age and possess the legal capacity to enter into a binding contract under Indian Contract Act, 1872 and other applicable laws of India.

b) Account Registration: Some features of Services may require you to create a user account on the Famli Platform. During registration, you may be required to provide personal and financial information such as your name, address, date of birth, permanent account number (PAN), bank account details, including bank statements, dematerialisation account details, biometric data, your financial goals, demat account statements contact details, and such other information as may be required under applicable laws. Accounts registered by automated methods, bots, or by individuals not eligible under these Terms are not permitted and may be terminated without prior notice.

c) Security of Account Credentials: You will use your registered phone number and one-time password (OTP) to access your account, with the option to enable biometric authentication (such as fingerprint or face recognition) for subsequent logins on your device. You are solely responsible for maintaining the confidentiality and security of the login credentials for your Famli account. If your device is lost or stolen, you must immediately secure your account by blocking your SIM, logging out of active sessions, and notifying us at support@famlilife.com with relevant information. Famli may use commercially reasonable efforts to assist with account security measures, but assumes no responsibility for any losses, fraud, or unauthorized transactions that may occur including arising from any instruction or transaction conducted through your account using your valid credentials. This limitation of liability applies regardless of whether such activity was authorized by you, if it results from your failure to safeguard your credentials.

d) User Account: Each user may register 1 (one) account with Famli. Famli reserves the right to deactivate or terminate any duplicate or fraudulent accounts. Each User may extend access to their Famli account to their family members. Famli enables the User to add family members to the account in order to track the total family net worth, including mutual funds, stocks, and other assets. The User may manage nominees for investments and grant family members access to the consolidated net worth reflected on Famli. Each such family member shall be deemed a “User” and shall be fully bound by these Terms and the Privacy Policy.

(ii) By completing the registration process and accessing Famli Platform, you consent to the collection and use of your information as described in these Terms and as further detailed in the Privacy Policy.

USER OBLIGATIONS AND CODE OF CONDUCT

(i) By accessing or using Famli Platform, you agree to the following obligations and standards of conduct:

a) Accuracy of Information: You must provide only true, accurate, and up-to-date information as part of using Famli Platform. This includes, but is not limited to, personal information, financial information, investment details, and credit-related information such as existing credit lines, credit applications, and credit history that may be required for KYC compliance, risk assessment, or advisory purposes. If you experience any difficulty in accessing your information, or if you wish to update or delete the personal or other information you have provided, you may contact us at support@famlilife.com. In the event of any changes to your account information or your contact details, you are responsible for promptly updating your details with Famli. We will rely on the most recent information provided by you for the provision of our Services.

b) Credit Information Collection: Famli may collect and process your credit information through various means, including manual inputs provided by you and, where applicable, through SEBI approved and RBI regulated Account Aggregators (“AA”) or other automated systems with your consent. Such credit information may be used for onboarding, risk profiling, suitability assessment, and providing personalized Advisory Services in compliance with applicable laws.

c) Responsible Use: Famli is to be used only for lawful purposes and in accordance with these Terms. You agree not to engage in any activity that could harm, disrupt, overload, or impair the operation or security of Famli Platform or any networks connected to Famli.

d) Prohibited Conduct: You must not:
• Misrepresent your identity or impersonate any person or entity.
• Attempt unauthorized access to any part or feature of Famli Platform, or any other systems or networks connected to the Famli Platform.
• Use Famli Platform for any unlawful, fraudulent, or malicious purpose, or for transmitting material that is abusive, threatening, defamatory, pornographic, vulgar, offensive, or otherwise objectionable.
• Copy, modify, distribute, sell, or lease any part of Services, or reverse engineer or attempt to extract the source code, except as expressly permitted by applicable law.
• Post, upload, or transmit any content that infringes upon third-party intellectual property rights or other proprietary rights.
• Circumvent or disable any security features or technological measures employed by Famli or its Third Party Partners.
• Use any automated means, including, but not limited to, bots, scripts, or other devices, to access, monitor, or interact with Famli Platform without prior written authorization.
• Register multiple accounts for the same individual or operate an account on behalf of another person without clear authorization.

e) Safeguarding Access: You are solely responsible for maintaining the confidentiality of your account information and all activities under your account. You must promptly inform Famli of any known or suspected unauthorized use of your account or any breach of security.

f) Compliance with Law: You agree to comply with all applicable laws, regulations, and regulatory guidelines in connection with your access and use of Famli Platform, including but not limited to investment advisory and data protection regulations.

g) Respect for Other Users: You must interact respectfully with other users and representatives of Famli and may not stalk, harass, abuse, or otherwise infringe on the rights of any other person while using Famli Platform.

(ii) Famli reserves the right to investigate and take appropriate legal action against anyone who, in Famli’s sole discretion, violates these Terms, including removing offending content, suspending or terminating accounts, and reporting such activity to the relevant governmental authorities.

CLIENT RESPONSIBILITY AND LIMITATIONS OF ADVICE

(i) All investment decisions and actions taken by you, even when based on any recommendations or advice from Famli, are solely your own responsibility. It is important that you carefully evaluate the risks and potential rewards of any proposed investment and consider your individual circumstances before proceeding.

(ii) By using Famli Platform and Services, you acknowledge and agree that Famli does not assure you of profits or guarantee that losses will be avoided. We cannot promise that your financial objectives or investment goals will be achieved, or that you will not experience adverse outcomes due to tax matters, technological issues, or regulatory changes. Famli will not be liable for any error of judgment or for any loss you may incur in connection with your investment activities or reliance on our Services and/or content on available on Famli Platform.

SERVICE FEES AND PAYMENT TERMS

(i) The fees for availing the Services offered by Famli will be subject to the terms of payment specified in the Advisory Agreement. Further, Famli reserves the right to revise its fee structures, introduce new fees, or change payment terms at any time, with reasonable notice to you. By continuing to use subscription services after such changes, you accept the revised terms.

(ii) You agree and undertake that all transactions initiated by you through the Famli Platform shall be conducted only through your own registered bank accounts and demat accounts. You shall not engage in any transactions that contravene the provisions of the Prevention of Money Laundering Act, 2002, anti-money laundering regulations, or any other applicable compliance requirements. You shall comply with all Know Your Customer (KYC) norms and provide all necessary documentation as required under applicable law for transaction processing and compliance verification.

INTELLECTUAL PROPERTY RIGHTS

(i) All content, technology, and materials made available through Famli Platform, including but not limited to text, graphics, logos, icons, images, software, user interfaces, design, and underlying source code, are the sole and exclusive property of Famli or its licensors. These materials are protected by applicable copyright, trademark, and other intellectual property laws of India.

(ii) Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use Famli Platform solely for personal, non-commercial purposes, subject to these Terms. Except as expressly permitted, you may not reproduce, distribute, modify, publish, display, perform, create derivative works from, transmit, or otherwise exploit any part of Famli Platform and/or Services being provided without prior written consent from Famli.

(iii) You retain ownership of any content or information you upload or submit through Famli Platform. By submitting such content, you grant Famli a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content solely for the purposes of complying with applicable laws or order of the court / statutory authority and providing Services to you, including investment advisory services, risk profiling, portfolio analysis, and Famli Platform functionality improvements, subject to our Privacy Policy.

(iv) Any unauthorized use of Famli’s intellectual property or misuse of Famli Platform and/or Services may result in immediate suspension or termination of your user account and may invite legal action.

THIRD PARTY PARTNER

(i) To provide and enhance our Services, Famli may use the services of and engage third-party service providers (“Third Party Partners”). This includes but not limited to:

a) Working with RBI regulated Account Aggregators (“AA”), specifically Finvu and Digitap, and other sub-processors who help us in securely fetching and regularly updating your financial data with your explicit consent. Additionally, with your consent, Famli may collect and process information about your investments in other assets, including any real estate holdings from real estate data providers , insurance related information from insurance data providers, and other relevant financial or asset related data from authorized third-party sources to provide comprehensive advisory services. Any such sharing of data is conducted strictly for the purpose of providing you with our Services and is governed by stringent confidentiality and data security obligations executed with them. Your information is used solely for the purpose of providing the Services you have subscribed to.

b) For providing SMS, email alerts, WhatsApp messages, push notifications, OTPs etc. However, these are dependent on various factors, including the infrastructure and network connectivity of Third Party Partners. Famli does not guarantee the accuracy, readability, or timely delivery of such communications and shall not be held liable for any non-delivery, delay, distortion, or failure in transmission of any message or alert.

c) You acknowledge and agree that the Famli Platform is only a technological facilitator for certain services offered through the Famli Platform and does not provide such services directly. Where applicable, actual service delivery (including remittance services, payment processing, or other financial transactions) is processed by licensed banking or financial entities authorized under applicable law. Your use of such facilities is subject to the separate terms, conditions, and policies of the authorized service providers. By using these services through the Famli Platform, you authorize us to share relevant information with our licensed partners to enable such transactions. We shall not be held liable for any delay, failure, or issue arising out of the actual service delivery by Third Party Partners, including foreign exchange rate fluctuations, regulatory delays, transaction rejection by service providers or recipient institutions, or any other matters beyond our direct control as a technology facilitator.

d) Utilizing Artificial Intelligence (“AI”) and Large Language Model (“LLM”) processors, specifically
Anthropic (provided as a Natural Language Processing layer for query understanding) and
Perplexity (utilized via API for real-time web search and information retrieval). These partners
process your specific research queries to generate insights. Famli ensures that no personally
identifiable information (PII) or account numbers are shared with these AI providers.
Furthermore, your data is processed through enterprise-grade connections and is strictly not
used for training any third-party AI models

(ii) By using our Services, you agree to provide your explicit consent to your data being shared with our Third Party Partners as described herein and detailed further in our Privacy Policy. We shall not be held liable for any penalties, losses, or damages you may incur due to the actions or negligence of any Third Party Partners.

DISCLAIMERS AND WARRANTY

(i) The Services are provided on an “as is” and “as available” basis. While we strive to ensure the integrity, accuracy, and security of our Services, Famli makes no warranties or representations, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of Services and/or the information and materials provided at Famli Platform and the Services provided are always subject to the accuracy of information as per paragraph 4(i)(b) above.

(ii) All investments are subject to market risks. You must read all scheme-related documents carefully before investing. Past performance is not an indicator of future returns. Investment decisions should be made based on your independent analysis and consultation with qualified financial advisors.

(iii) All interactions, communications, dealings, or transactions between you and any third-party providers in respect of products or services offered through the Famli Platform are separate and independent transactions without any liability accruing to Famli. You acknowledge that Famli does not act as an agent or representative of such third-party providers and expressly agree to hold Famli harmless for any costs, claims, damages, losses, or expenses arising from such dealings. Famli does not warrant, endorse, guarantee, or assume responsibility for any third-party products or services.

(iv) Information, insights, suggestions, or content displayed through the Famli Platform, including financial news or market trends, may be generated using artificial intelligence, machine learning models, or automated systems. Such content is provided solely for general informational purposes and should not be construed as financial, investment, tax, or legal advice. Famli disclaims any liability arising from actions taken based on AI-generated content, including errors, omissions, or misrepresentations.

(v) The Famli Platform may utilize chatbots, virtual assistants, or automated interfaces that operate on pre-programmed logic and may not fully address complex or user-specific issues. Responses from such systems do not constitute professional advice. Famli Platform may be subject to interruptions, delays, system errors, or network failures beyond our control, for which Famli shall not be liable.

(vi) Famli Platform may contain links to or integrations with third-party services for user convenience. Such services are not owned, operated, or endorsed by Famli, and we make no warranties regarding their security, functionality, or accuracy. Your interaction with third-party services is at your sole risk.

(vii) Famli does not guarantee uninterrupted or error-free access to its Services or that defects will be corrected or that the Famli Platform is free from viruses or other harmful components.

(viii) Neither Famli, its affiliates, nor any of their respective officers, directors, or employees will be held liable for any action performed in good faith or for any errors of judgment made in relation to the management of your account.

(ix) Any gesture of goodwill shown by Famli, including but not limited to the refund of fees or other charges, is made without prejudice and shall not be construed as an admission of any fault, breach, or liability on the part of Famli. You agree that any such gesture will not entitle you to any further or additional claims.

(x) Some jurisdictions may not allow certain exclusions or limitations of liability set out in these Terms and therefore, in such cases, such limitations will apply to the maximum extent permitted by applicable law.

INDEMNIFICATION, AND LIMITATION OF LIABILITY

(i) In no event shall Famli or its affiliates, directors, employees, associates, partners, or services provider will be liable to you for any loss or damage that may cause or arise from or in relation to these Terms or due to use of Famli Platform or due to investments made using this Famli Platform or availing the Services or availing any product or services from any Third Party Partners.

(ii) You agree to indemnify, defend, and hold harmless Famli, its affiliates, directors, officers, employees, partners, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

a) Your access to or use of Famli Platform or availing of Services;

b) Your violation of these Terms or any applicable law or regulation;

c) Any false, inaccurate, or misleading information provided by you;

d) Any act, neglect, misconduct or fraud on your part

e) Any unauthorized, improper, illegal use of your account, delays by banks in effecting the instruction for the transactions; and/or

f) Your infringement of any rights of a third party, including but not limited to intellectual property rights and data privacy rights.

(iii) This indemnification obligation survives the termination or expiration of your Famli account and these Terms.

TERMINATION AND SUSPENSION OF SERVICES

(i) Famli reserves the right, at its sole discretion, to suspend or terminate your access to Services and Famli Platform, without prior notice, if:

a) You breach or violate these Terms or any applicable law or regulation;

b) Famli suspects fraudulent, abusive, or unlawful activity associated with your account;

c) Required by regulatory or legal authorities;

d) Famli is discontinuing or materially modifying its services.

(ii) Upon termination or suspension, your right to use Services and access to Famli Platform will immediately cease. You may also lose access to any information or content associated with your account. Termination or suspension of access is without prejudice to any other rights or remedies Famli may have under law or equity.

(iii) You may discontinue using Services at any time by following the designated procedures to close your account.

(iv) Any provisions of these Terms which by their nature should survive termination, including, but not limited to, intellectual property rights, indemnification, disclaimers, and limitation of liability, will continue to apply even after your use of Services has ended.

ENTIRE AGREEMENT

These Terms, together with any other policies, guidelines, or agreements referenced herein (including the Privacy Policy and the Advisory Agreement (only in case you are availing Advisory Services)), constitute the entire agreement between you and Famli with respect to your use of Famli Platform and availing of Services. These Terms supersede any previous communications, arrangements, or understandings between you and Famli, whether written or oral, relating to the subject matter herein

CONTACT INFORMATION

(i) Famli, its employees, authorised agents and Third Party Partners may contact you via phone, email, SMS, or other electronic communication channels for matters related to your registration, account activity, advisory services, transactions, or other specified and non-specified purposes. By using Famli Platform and availing Services, you consent to receive such communications, even if your number is registered with the Do Not Disturb (DND) or National Do Not Call (NDNC) registry, or National Customer Preference Register (NCPR).

(ii) You acknowledge that if your mobile number is registered on the DND list maintained by TRAI, you may not receive SMS communications from Famli. You agree to take necessary steps to deregister from the DND list if you wish to receive SMS communications and shall not hold Famli liable for non-receipt of SMS due to DND registration.

(iii) If you wish to opt out of some or all such communications or to delete your account, you may do so through the mobile application or by contacting us at support@famlilife.com.

GRIEVANCE REDRESSAL MECHANISM

Famli is committed to ensuring that your concerns are addressed in a timely and fair manner. If you have any grievances related to the services provided, we request that you first contact our designated grievance officer (Compliance Officer) at coco@famlilife.com. We are committed to acknowledging complaints promptly and will strive to provide a resolution at the earliest possible.

If you are not satisfied with the resolution, you may escalate the matter to the appropriate authorities as specified under the relevant laws. If you are not satisfied with our resolution, or if a complaint is not addressed within the specified timeline, you are entitled to escalate the matter through the SEBI Complaints Redress System (SCORES), which can be accessed at https://scores.gov.in. In the event that your complaint remains unresolved, you are also entitled for online resolution of the dispute on the SMART ODR Portal at https://smartodr.in.

MISCELLANEOUS

(i) Governing laws and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. By using Famli Platform, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Famli Platform or availing Services shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, India.

We request you to first contact our support at support@famlilife.com or grievance redressal mechanism as provided in the above clause 13 in the event of any dispute or concern, so we may attempt to resolve issues amicably. If a dispute cannot be resolved informally, it shall be referred to and finally resolved by the courts as specified above.

(ii) Severability

If any provision of these Terms, or part thereof, is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the fullest extent permitted by law to reflect the intent of the parties. The remaining provisions of these Terms shall continue in full force and effect.

(iii) Assignment

Famli may assign, transfer, or subcontract its rights or obligations under these Terms to any third party at any time, without requiring your prior consent or providing further notice. You may not assign or transfer your rights or obligations under these Terms, or subcontract any part of your obligations, to any other person or entity without Famli’s prior written approval.

(iv) Waiver

A delay or failure by Famli to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any single or partial exercise of any right or remedy will not prevent further exercise of that or any other right or remedy under these Terms.

(v) Force Majeure

The Famli shall not be liable for any failure or delay in fulfilling its obligations under these Terms due to a Force Majeure event. During such events, its obligations shall remain suspended for the duration of the disruption. A “Force Majeure Event” includes any circumstance beyond the Famli’s reasonable control such as system unavailability, change in law, cyberattacks, data breaches, natural disasters, fire, flood, war, civil unrest, strikes, government actions, lockdowns, power outages, or telecommunication/network failures. The Famli disclaims any liability for data loss, service interruption, or non-performance arising directly or indirectly from Force Majeure Events.

(vi) Survival
Termination or expiration of these Terms shall not affect any provision which is intended to survive, including but not limited to clauses on Client Responsibility and Limitations of Advice, Indemnification, and Limitation of Liability, Disclaimers and Warranty, Intellectual Property Rights, Grievance Redressal Mechanism, and Governing Laws. Any rights or obligations which, by their nature or context, are intended to survive termination shall remain in effect.

(vii) Modification

Famli reserves the right to change, amend, or modify these Terms and any provision related to the Famli Platform and Services at any time and at our sole discretion, including changing the extent and scope of Services or adding new categories, services, facilities, or features. Any such changes shall be effective immediately upon posting of the revised Terms on the Famli Platform and may be notified to you through the Famli Platform or other communication channels. You can determine when these Terms were last revised by referring to the “Last Updated” date at the top of these Terms. Your continued access to or use of the Famli Platform following any modifications shall constitute your binding acceptance of such revised Terms. If you do not agree with any changes, your sole remedy is to discontinue use of the Famli Platform and Services. Your use and access of the Famli Platform and Services is subject to the most recent version of these Terms available on the Famli Platform at the time of such use.
